Terms of Service

Account Registration

You must register with ChatBlizz and create an account to use the Services. You agree to provide true, accurate, current and complete information as prompted by the registration process.

Account Security

You are responsible for maintaining the confidentiality of your login and password. You are solely and fully responsible for all activities that occur under your account.

Account Representative

The person signing up for the Services will be the contracting party ("Account Representative"). Your Account is not transferable to any other person or account.

Definitions

• Business Owner: Any individual or entity that uses ChatBlizz's Services to market, support, develop, or otherwise commercialize their business, services, or products.
• Agency: Any service provider retained or hired by a Business Owner to create and/or manage a ChatBlizz account and use the Services on the Business Owner's behalf.

Agency Responsibilities

If you are an Agency, you must correctly identify the Business Owner as an administrator on the Account and confirm you are authorized to use the Services on behalf of the Business Owner.

Account Ownership

The Business Owner shall be the sole and exclusive account representative of any Account created on its behalf by an Agency.

Definition

"User Generated Content" is defined as any content, information, and materials that may be textual, audio, or visual that you or any Conversation Participant provide, submit, upload, publish, or make otherwise available to the Services.

Your Responsibility

You are solely responsible for your User Generated Content. We act merely as a passive conduit for your online distribution and publication of User Generated Content.

ChatBlizz disclaims any responsibility for User Generated Content and cannot be liable for claims arising out of or relating to User Generated Content.

Content Requirements

You warrant that your User Generated Content:

• • Will not be false, inaccurate, incomplete or misleading
• • Will not infringe on any third party's intellectual property rights
• • Will not violate any law, statute, ordinance, or regulation
• • Will not be defamatory, libelous, threatening, or harassing
• • Will not contain obscene content or be harmful to minors
• • Will not contain viruses or malicious code

License Grant

By making available any User Generated Content through the Services, you hereby grant to ChatBlizz permission to use, process or disclose such User Generated Content for the purposes of providing the Services to you.

Legal Compliance

You must comply with all applicable laws including:

• • Information Technology Act, 2000 (as amended)
• • IT (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011
• • Telecom Commercial Communications Customer Preference Regulations, 2018 (TRAI)

Indemnification

You agree to indemnify, defend and hold harmless ChatBlizz from and against any and all claims, suits, fines, costs, expenses, judgments and fees arising out of a claim alleging any violation by you of the law.

Contact Information Verification

You verify that any contact information provided to ChatBlizz and its clients, including your email address, is true and accurate. You further verify that you are the email subscriber and/or own any email addresses you provide.

Consent to Communication

By voluntarily providing your email addresses, you expressly agree to be contacted at the email addresses you provide. You consent to receive emails relating to this agreement, transactions, account matters, and promotions.

Payment Processing

Payment must be made through the third party payment processing system (PSP) as indicated on the Services. You may be required to register with the PSP and agree to their terms of service.

Pricing and Taxes

All prices displayed are exclusive of applicable taxes. Taxes will be calculated at the time a transaction is charged. All prices are in Indian Rupees (INR) unless otherwise indicated.

Subscription Plans

If you sign up for a Subscription Plan, payment will be due for the full period. You authorize us to charge your payment instrument for recurring charges.

Trial Periods

We may offer trials of paid Services. Unless you cancel before the trial period ends, you will automatically become a recurring subscriber and be charged the applicable price.

Termination Rights

Either party may terminate these Terms of Service for any or no cause, at any time. You may cancel and delete your Account at any time using the features on the Services.

ChatBlizz's Termination Rights

We reserve the right to refuse the Services to anyone for any reason. We may terminate or limit your right to use the Services if we believe you have breached any provision of this Agreement.

Data Deletion

Following termination or cancellation of your Account, we reserve the right to delete all your data, including any User Generated Content. Your data cannot be recovered once your Account is terminated.

Governing Law

The Terms and the relationship between you and ChatBlizz shall be governed by the laws of India. Any claim you may have against ChatBlizz must be resolved through arbitration or alternate dispute resolution within the territorial jurisdictions of the courts of Kanpur only.

Time Limitations

Any cause of action brought by you must commence within one (1) year after the cause of action accrues. Otherwise such cause of action is permanently barred.

Jurisdiction

ChatBlizz respects the laws of India and submits itself to its jurisdiction. We will provide relevant information or cooperate with law enforcement agencies of India when necessary.
